Skills Learner Product Terms and Conditions 

1 General Terms and Conditions 

1.1 Acceptance of Terms 

The products or services that Skills Learner (“OSP”, “we”, “us”, “our”) provides to you (“you”, “customer”, “student”, “he”, “she”, “subscriber”) are subject to the following Terms and Conditions. Skills Learner reserves the right to modify the Terms and Conditions at any time without notice to you. The most current version of the Terms and Conditions can be reviewed by clicking on the “Terms and Conditions” hypertext link located at the bottom of our web pages. By using SKILLS LEARNER products you agree to always be bound by the latest published Terms and Conditions in their entirety. By purchasing any Skills Learner product you confirm that you have read, understood, and that you agree to the Terms and Conditions stated herein. 

1.2 Personal and Non-Commercial Use Limitations 

Unless otherwise specified, all SKILLS LEARNER products or services provided are for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from SKILLS LEARNER. This includes any material or information, including images or photographs, which are made available in our products in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party. 

In particular, students may not 

(1) Share their username and/or password with other persons 

(2) Change their username and/or password in order to transfer the account to other persons 

(3) Offer their products for free or for sale to other persons 

1.3 No Unlawful or Prohibited Use 

As a condition of use of any SKILLS LEARNER products, you agree to not use the products for any purpose that is unlawful or prohibited by these terms, conditions, or by any applicable laws or regulations. You may not use the products in any manner that could damage, disable, overburden, or impair any SKILLS LEARNER server, or the network(s) connected to any SKILLS LEARNER server, or interfere with any other party’s use and enjoyment of any product or service provided. You may not attempt to gain unauthorized access to any product or service, other accounts, computer systems or networks connected to any SKILLS LEARNER server through hacking, password mining, or other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally specified in the access provisions of this agreement. 

1.4 Access to Products 

You agree to access SKILLS LEARNER products by only the means SKILLS LEARNER provides. Access methods will differ based on the product and may be specified for each product listed in this agreement. For any product where SKILLS LEARNER provides you with an account, you must follow the process specified by SKILLS LEARNER in the purchase confirmation email to access the product(s) purchased. You may be required to provide information to access products and agree that any information provided will always be accurate, correct, and current. You will receive a username and a temporary password, which you may change. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify SKILLS LEARNER immediately of any unauthorized use of your account or any other breach of security. SKILLS LEARNER will not be liable for any loss that you may incur as Skills Learner Product 

a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by SKILLS LEARNER or another party due to someone else using your account or password. You may not use anyone else’s account at any time or furnish to other persons’ usernames, passwords, or any URL that you are provided to access a SKILLS LEARNER product. SKILLS LEARNER may deactivate your account or limit access to products in case of product misuse. 

1.5 Single User License 

All products you purchase from SKILLS LEARNER are intended for a single user (single-user license). They are intended for you alone. You may access the product on multiple devices and from multiple locations for your personal use. For products that can be downloaded, you may download the product several times for your personal use and make backup copies of downloaded files. 

You may not: 

(1) Share usernames and/or passwords with other parties 

(2) Share download information/download links with other parties 

(3) Make SKILLS LEARNER products available to other parties 

(4) Upload SKILLS LEARNER products to file-sharing networks or any websites 

1.6 Links to Third-Party Sites 

Links provided in any SKILLS LEARNER websites or products that allow you to leave SKILLS LEARNER products or websites are not under the control of SKILLS LEARNER and SKILLS LEARNER is not responsible for the contents, or any linked site, or any link contained in a linked site, or changes or updates to those sites. SKILLS LEARNER provides these links as a convenience and the inclusion of any non-SKILLS LEARNER link does not imply endorsement by SKILLS LEARNER of the site. 

1.7 Limitation of Liability 

The customer agrees to indemnify and hold harmless SKILLS LEARNER, its affiliates, employees, contractors, and other business associates from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of this agreement or the failure to fulfill any obligations relating to the customer’s account incurred by himself/herself or any other person using his/her account. SKILLS LEARNER reserves the right to take over the exclusive defense of any claim for which the company is entitled to indemnification under this agreement. In such an event, the customer shall provide SKILLS LEARNER with such cooperation as is reasonably requested by the company. The customer of SKILLS LEARNER products expressly understands and agrees that any claim against SKILLS LEARNER shall be limited to the amount paid, if any, for the use of products and/or services. SKILLS LEARNER will not be liable for any direct, indirect, incidental, consequential, or exemplary loss or damages which may be incurred as a result of using SKILLS LEARNER resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply. 

1.8 Limitation of Warranties 

By using Skills Learner’s websites, you understand and agree that all resources SKILLS LEARNER provides are “as is” and “as available”. This means that SKILLS LEARNER does not represent or warrant to you that: 

(1) The use of SKILLS LEARNER resources will meet your needs or requirements. 

(2) The use of SKILLS LEARNER resources will be uninterrupted, timely, secure or free from errors. 

(3) Information or advice, whether expressed, implied, oral or written, obtained from SKILLS LEARNER or through any resources SKILLS LEARNER provides shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this agreement. 

Any content downloaded or otherwise obtained through the use of SKILLS LEARNER resources is done at your own discretion and risk, and that you alone are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content. 

1.9 Discount Coupon Policy 

SKILLS LEARNER regularly offers discount coupons for its products. These coupons are published in SKILLS LEARNER newsletters and via various social media channels. SKILLS LEARNER applies the following policy in regard to accepting discount coupons: 

(1) Discount coupons are only valid for new purchases and the coupon code must be entered into the Gift Certificate box at the time of purchase in order to obtain the discount. 

(2) Each discount coupon has a clearly published start date and expiration date: 

(2.1) The discount cannot be applied to purchases that happened before the coupon start date. 

(2.2) The discount cannot be applied to purchases that happened on/after the coupon expiration date. 

(3) Customers who purchase a product for which a discount coupon is active on the day of the purchase have three (3) calendar days to write to support and ask to receive the discount. 

(3.1) The discount will not be granted if the customer writes to SKILLS LEARNER later than three (3) calendar days after the purchase. 

(3.2) Exception: “Holiday” discount coupons – for example for “Black Friday” – are only valid on a specific day of the year and cannot be applied after that date. 

SKILLS LEARNER applies this policy to all purchases without exception. 

 

1.10 Customer Communication 

SKILLS LEARNER proactively communicates important information about its products to you via customer newsletters and SKILLS LEARNER websites. Such information includes but is not limited to (1) discount coupons, (2) product expiration notices, or (3) upgrade offers. 

You agree that SKILLS LEARNER makes reasonable efforts to communicate such information to you through these channels and that SKILLS LEARNER is not responsible if you do not receive and/or understand such information due to but not limited to (1) technical failure, (2) your request to be removed from mailing lists, (3) your failure to visit SKILLS LEARNER websites to read notices, (4) your ignoring / not reading emails received from SKILLS LEARNER, or (4) SKILLS LEARNER emails marked as spam in your email inbox. 

In particular, you agree that 

(1) Claiming not to know about a specific offer after it has expired does not constitute your right to receive such an offer after it has expired. 

(2) You do not have the right to receive a free or discounted product upgrade if you miss the published deadline no matter what the circumstances. 

 

1.11 Guarantees 

SKILLS LEARNER does not make claims or assurances that the use of its products will guarantee that you will pass any credential or certification exam. 

SKILLS LEARNER does not make claims or assurances that the Project Management Institute (PMI) will approve your claim to use SKILLS LEARNER products for Contact Hours.

1.12 Copyrights/Trademarks 

All content and materials available as part of SKILLS LEARNER products and on SKILLS LEARNER websites, including but not limited to text, graphics, product name, website name, code, images, and logos are the intellectual property of SKILLS LEARNER, and are protected by applicable copyright and trademark law. Any inappropriate use, as specified in this agreement including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited unless specifically authorized by OSP.
